1. Agreement

By accessing or using Arc Site Mate ("the Service"), you agree to be bound by these Terms & Conditions. If you are using the Service on behalf of a company or organisation, you represent that you have authority to bind that entity to these terms.

These terms constitute a legally binding agreement between you and Arc Site Mate (ABN: 43 879 594 646).

2. Accounts & Access

2.1 Account Registration

To use the Service, you must register an account with accurate and complete information. You are responsible for maintaining the security of your account credentials.

2.2 Account Responsibilities

You are responsible for all activity that occurs under your account. You must notify us immediately of any unauthorised access or security breach.

2.3 Role-Based Access

The Service provides role-based access controls. Super Admins manage company-wide settings and billing. Project Admins may only access projects assigned to them.

3. Subscription & Pricing

3.1 Per-Project Pricing

The Service is billed at $89.00 AUD per project per month. Your subscription automatically adjusts as you add or remove projects.

3.2 GST

All prices are exclusive of GST. A 10% GST applies to all subscriptions for Australian customers as required by law. GST will be itemised separately on your invoice.

3.3 Price Changes

We may change our pricing with 30 days' written notice. Price changes do not affect your current billing period. You may cancel before the new price takes effect if you do not accept the change.

4. Billing & Payment

4.1 Billing Cycle

Subscriptions are billed monthly on the same date each month from your subscription start date. If your billing date falls on a day not in a given month, you will be billed on the last day of that month.

4.2 Payment Methods

We accept major credit and debit cards. All payments are processed securely through Stripe. We do not store your full card details on our servers.

4.3 Failed Payments

If a payment fails, we will attempt to process it again and notify you by email. You have a 7-day grace period to update your payment method before access is suspended.

4.4 Overdue Accounts

If payment is not received within the grace period, your access to the Service will be suspended. Your data will be retained for 30 days during which you can restore access by completing payment. After 30 days of suspended access, your data may be deleted.

5. Free Trial

5.1 Trial Period

New subscribers receive a 7-day free trial. During the trial, you have full access to all features of the Service.

5.2 Payment Information

A valid payment method is required to start your trial. Your card will not be charged until the trial period ends.

5.3 Trial Cancellation

You may cancel at any time during your trial without being charged. If you do not cancel before the trial ends, your subscription will automatically begin and your payment method will be charged.

6. Cancellation & Refunds

6.1 Cancellation by You

You may cancel your subscription at any time through the billing section of your account or by contacting us. Cancellation takes effect at the end of your current billing period. No refunds are provided for partial billing periods.

6.2 Cancellation by Us

We may cancel your subscription with 30 days' notice, or immediately if you breach these terms. If we cancel without cause, we will refund any prepaid amounts for unused periods.

6.3 Refund Policy

Due to the nature of the Service, refunds are generally not provided after the trial period. However, we may consider refund requests on a case-by-case basis for exceptional circumstances. Contact us at info@arcaiagent.com to discuss.

7. Data & Content

7.1 Your Data

You retain ownership of all roster data and content you upload to the Service. You grant us a limited licence to host, store, and display that data solely for the purpose of providing the Service to you and your authorised users.

7.2 Data Accuracy

You are responsible for the accuracy and lawfulness of the data you provide. The Service displays roster information as uploaded; we do not verify or validate the content.

7.3 Privacy

We handle personal information in accordance with our Privacy Policy and applicable Australian privacy laws.

8. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose
• Attempt to access data belonging to other companies or projects
• Interfere with or disrupt the Service or its infrastructure
• Share roster information with unauthorised parties
• Reverse engineer, decompile, or attempt to extract source code
• Use automated systems to access the Service without permission

Violation of these terms may result in immediate termination of your account.

9. Liability & Warranties

9.1 Service Availability

We aim to provide a reliable Service but do not guarantee uninterrupted availability. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control.

9.2 Disclaimer

To the extent permitted by law, the Service is provided "as is" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

9.3 Limitation of Liability

To the maximum extent permitted by law, our total liability arising from your use of the Service is limited to the fees you have paid to us in the three months preceding the claim.

10. Australian Consumer Law

Nothing in these terms excludes, restricts, or modifies any consumer guarantee, right, or remedy conferred on you by the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010) that cannot be excluded, restricted, or modified by agreement.

If the Australian Consumer Law applies to you as a consumer, you may be entitled to a replacement or refund for a major failure and compensation for any other reasonably foreseeable loss or damage.

11. Changes to Terms

We may update these terms from time to time. We will notify you of material changes by email or through the Service. Continued use of the Service after changes take effect constitutes acceptance of the revised terms.

We recommend reviewing these terms periodically for any updates.
